Overview: Given the rising importance of using AI tools and agents, trusted data is more important than ever—better data means better decisions. We are seeking a motivated Senior IP Tech & Product Counsel to provide strategic legal guidance and support to Precisely’s dynamic, innovation-driven, global organization on a variety of intellectual property, technology product development, and product licensing issues, with a particular focus on AI products, use, outputs, contracting and risk mitigation. This role partners closely with our supplier, product (engineering, product management, and data product), marketing, commercial, compliance, privacy, legal and security teams to ensure that our products, services and platforms are designed, deployed, contracted and marketed in compliance with IP, AI, and data regulatory requirements as well as business needs. The ideal candidate will appropriately balance risk while optimizing business growth and AI opportunities in providing legal guidance to our global commercial teams and through analysis and negotiation of technology and data licensing related agreements. Additionally, this exciting role includes in-depth AI analysis on AI tools for internal use in collaboration with the AI Council, and technical in-depth AI analysis on new development, integration and use of AI by research & development and product development teams in collaboration with the Product AI Council. Further, this technology-driven role will collaborate with internal business partners, advising on existing and new product, feature and data development, from conception to pilot to launch, requiring a global mindset and in-depth knowledge of IP law, data licensing, AI/ML issues, open-source, open data, software and digital technology issues. The ideal candidate will demonstrate the ability to combine strong business acumen with advanced negotiation capabilities for technology related agreements, balance legal risk with speed-to-market, as well as show the ability to influence product strategy through technology, AI and data fluency and a nuanced understanding of IP and AI issues.
What you will do:
As Senior IP Tech & Product Counsel with Precisely, you will play a key role in closing deals with our Supplier, Partner and client-facing teams as well as working with our Legal counterparts, Products, Marketing, AI Council and other departments for AI, product counseling and Intellectual Property matters, key responsibilities including:
Intellectual Property & AI Counseling
- Draft, negotiate, and advise the business on a variety of agreements and IP and technology clauses and legal issues in supplier, partner, and customer technology and data related agreements, including various supplier/partner terms (reseller, comarketing, co-selling, OEM, and more), AI/ML, AI/ML output, data use, data licensing, software on-prem and SaaS platforms, IP development, IP ownership/licensing, and other commercialization of IP and license grants, based on an understanding of the products, data, business and customer objectives, required flow down obligations, and legal positions.
- Draft, negotiate and advise on various technology-related agreements from AI/ML addendums, open source software licenses, open data licenses, EULAs, online terms (click-throughs, shrink-wraps, and other no-touch terms), SaaS and other cloud-based terms, evaluation and beta trials, and other technology-regulation related terms.
- Assist in drafting, maintaining, and training others in technology and data specific contract templates, fall back language, and legal positions, including provisions covering AI/ML, AI/ML output, data output, data licensing, data use, SaaS, IP ownership/licensing, assignment issues, SLAs, and risk provisions related to the same (warranties, indemnities, limitations on liability, insurance, remedies, wind-down and termination) across software, SaaS, support/service, data-driven products, and AI-integrated products.
- Assist on a variety of intellectual property matters, including trademarks, patents, trade-secrets, and copyright issues, including prosecution work with external and regional counsel, IP claims, licensing issues, as well as IP portfolio management and other IP work including assisting in developing and implementing IP strategies for proprietary technologies, algorithms, and data models.
- Collaborate with the AI Council as a trusted advisor for IP, AI and technology related issues and review, analyze, negotiate agreements and provide guidance on AI tools for internal consumption.
- Collaborate with the Product AI Council as a trusted advisor for IP, AI, technology, and product related issues, and conduct a technical in-depth review and analysis, negotiate agreements, and provide guidance on new development, integration, deployment, and use of AI by research & development and product development teams.
- Oversee AI compliance, including license reviews, risk assessments and mitigation, reviewing and drafting documentation, disclaimers, disclosures, and policies, and providing guidance and training on AI/ML, data, model ownership, IP and output rights, training, and content ingestion.
- Assist with IP diligence in M&A, investments, and vendor selection; advise on IP assignments and transition services.
Product Counseling & Emerging Technology
- Serve as a primary legal advisor for product development lifecycle, from ideation to launch.
- Conduct risk assessments and regulatory compliance for new products, features, APIs, and integrations involving AI, IP and data.
- Assist with guidance on AI use, integration, and governance, including bias mitigation, transparency, and compliance with emerging AI regulations, with support from AI related counsel and manager.
- Review product terms of service, EULAs, and developer agreements for IP and AI issues, updates and compliance.
- Partner with Privacy Counsel and Security teams to align product design with privacy-by-design and security-by-design principles.
- Partner with Product Management, Marketing and Documentation teams on product UIs, disclaimers, EULAs/TOUs, branding, content, announcements, webpages, articles, customer interactions, product documentation and other product content.
- Collaborate with Research & Development and Product teams to identify copyright and patent notifications, patentable inventions, manage trade secrets, and support patent filings with outside counsel.
- Assist with data monetization initiatives, including structuring agreements for data products and data-as-a-service (DaaS) offerings.
Governance, Policy & Enablement
- Assist with Development and maintenance of IP, AI, OSS/OD, marketing, patents, and trade-secret policies and guidelines, and related playbooks, questionnaires and templates.
- Assist with training Product, Engineering, and Data teams on topics such as IP, AI, data licensing, and open-source compliance.
- Monitor regulatory developments in IP, AI, and data law; update stakeholders on emerging risks and opportunities.
- Support internal/external audits, due diligence, compliance certifications, insurance inquiries, IP complaints and disputes, coordinate litigation strategy as needed, and other reviews related to IP and AI governance.
What we are looking for:
- Law Degree from an accredited institution (or relevant local equivalent); and qualified and admitted to practice law in local jurisdiction.
- 7-10 years of post-qualification experience in IP and technology law, with significant exposure to AI issues and product counseling (at least 4 years in-house experience preferred; top law firm experience a plus).
- Professional fluency in English for advanced legal reading, writing, and communication.
- Hybrid [or full-remote option] supporting global needs, specifically supporting US Eastern and EMEA time zones regularly. While the role is based on local working hours, the selected candidate is expected (consistent with the demands of an international legal practice) to participate in meetings, reviews, or time-sensitive legal matters occurring during the US Eastern and EMEA time zones. The role is task-based rather than hours-based; occasional late meetings may be required depending on business needs.
- Ability to work collaboratively and remotely with teams from across the globe, as needed, but also the confidence and efficiency to work autonomously.
- In-depth knowledge of globally recognized IP concepts (trademarks, patents, copyrights, trade secrets, as well as ownership, licensing, and confidentiality), IP ownership, licensing, and enforcement, including in software and data-driven technologies, and their application in IP prosecution and contractual contexts.
- Experience advising on open-source and open-data license compliance and AI/ML issues.
- In-house experience at a technology company, SaaS provider, AI or data-driven enterprise.
- Enthusiasm and experience in using AI‑powered tools to enhance legal research, drafting, and day‑to‑day workflow efficiency.
Preferred requirements:
- Familiarity with cloud computing, APIs, data analytics platforms, and AI/ML product development.
- Knowledge of export controls, cybersecurity regulations, and responsible AI frameworks.
- Experience with IP portfolio management and IP strategy.
- Comfort with legal tech tools (CLM systems, IP management software, AI tools), approval matrices, thresholds, playbooks and self-service workflows.
- Strong problem-solving capability, and the ability to handle ambiguity, particularly as it relates to the evolving landscape of technology and potential regulatory issues.
- Ability to manage numerous matters on tight timelines and the ability to adapt to shifting priorities with flexibility and a pragmatic approach.
- Experience working with and managing external counsel.
- Self-motivated, intellectually curious, and willing to jump into new challenges and projects.

Salary: 193 000 - 257 000 PLN gross per year - compensation is flexible and open for discussion, with the possibility of adjustment for candidates whose skills and experience strongly align with the role’s requirements
