ensuring the timely and accurate submission of regulatory reports, surveys, data requests, and notification requirements of the Securities and Exchange Commission (“SEC”), Boards of Directors, and Board Committees;
supporting the Mynt Group’s corporate governance bodies by rendering legal advice in aid of decision-making processes, business planning, and reporting to regulators;
managing the Office of the Corporate Secretary by handling administrative functions to ensure the efficient functioning of the Office, including supervising the coordination of activities relating to the Boards and their Committees, as well as their interaction with Management and all stakeholders;
preparing and reviewing Corporate Affairs documents (e.g., Minutes of Meetings, Resolutions, Secretary’s Certificates, incorporation documents and amendments thereto, Proxy Forms, Nominee Agreements, Deeds of Trust, Deeds of Assignment, General Information Sheets, and Annual Corporate Governance Scorecards), as well as documents related to the development and implementation of corporate policies and templates;
supervising the preparation, maintenance, and filing of corporate secretarial and governance documents;
monitoring timelines for corporate meetings and filings with government agencies to ensure that trackers are updated on a day-to-day basis;
monitoring government regulators’ official emails and websites, including their social media, for advisories, circulars, memos, or developments that affect the Mynt Group;
supervising the preparation of pre-read materials for Stockholders, Boards, and Committee Meetings;
supervising the coordination and routing of documents and materials to the Boards and Committees;
ensuring that all Corporate Affairs documents are encoded in the Compliance Monitoring Database;
supervising the document management tasks of the Corporate Affairs Paralegal and Corporate Affairs Lead, including the proper notarization of documents;
conducting legal research on relevant issues; and
performing such other tasks as may be assigned by the AVP - Corporate Affairs Officer and the Corporate Secretary.
