What you’ll bring to the team:
The General Counsel is a strategic, business-minded leadership position steering Legal efforts for the company. Reporting to the CFO and partnering with the executive team, you will safeguard our growth, guide risk-balanced decisions, and strengthen the governance of an international, PE-backed SaaS company. You’ll also manage a Senior Contracts Administrator, with room to grow the department as we scale.
You will:
- Provide pragmatic counsel to executives and other stakeholders on legal requirements and the business implications of key decisions.
- Anticipate issues and assess enterprise-wide risk.
- Lead complex,cross-border matters spanning commercial, corporate, privacy, employment, and IP.
- Draft, review, and negotiate customer, vendor, and strategic-partner agreements that minimize risk and optimize terms.
- Partner with external counsel to oversee all corporate, tax, and regulatory matters for our international subsidiary (and any future foreign entities).
- Own and continually improve our contract-lifecycle-management (CLM) system through the Senior Contracts Administrator.
- Advise on issues pertaining to compliance and data privacy, ensuring our practices align with applicable laws and regulations.
- Serve as Corporate Secretary; draft and maintain Board and committee materials and governance documents.
- Partner with our CFO to own M&A and capital-markets activity - along with outside counsel from term sheet through closing to ensure successful transactions.
- Advise on insurance coverage, risk-transfer strategies, and policy renewals in concert with the CFO and broker.
- Manage equity-plan documentation and the cap table for the company’s employee stock plan.
- Build and mentor a high-performing legal function; select and supervise outside counsel.
The ideal candidate is/has:
- 12+ years of sophisticated legal practice including broad commercial-contract drafting and negotiation.
- A proven “builder” mindset - you create scalable processes in high-growth environments.
- Working knowledge of privacy frameworks (HIPAA, CCPA; GDPR) and clinical-research regulations (e.g., FDA 21 CFR Part 11).
- Solid grounding in employment and intellectual-property law.
- A track record of selecting and managing outside counsel effectively.
- J.D. and admission to the State Bar of Georgia or in-house counsel registration, provided you are licensed and in good standing in at least one U.S. state.
- Experience working with a majority private-equity investor, serving on a Board of Directors as Corporate Secretary or or otherwise supporting a Board of Directors, and overseeing legal operations for non-US subsidiaries.
