Key responsibilities

Legal and Governance

  • Establish and build the in-house legal function at Exclaimer
  • Introduce and optimise legal operations tooling (e.g., CLM platforms, e-signature tools).
  • Maintain oversight of corporate governance, board documentation, company secretarial duties, and equity structuring.
  • Oversee the company’s trademark and IP portfolio, with support from external counsel.
  • Advise on open-source usage, software licensing, and IP assignment.
  • Provide legal support for dispute resolution and litigation matters.
  • Support due diligence, SPA/APA review, and post-deal integration in M&A activities.
  • Liaise with private equity sponsors, auditors, and advisors on legal disclosures and risk.

Commercial and contractual

  • Partner with commercial teams to support customer SaaS agreement negotiations.
  • Lead on contract drafting and the evolution of our terms of business for customers, resellers, and suppliers.
  • Advise on supplier agreements, real estate leases, and other commercial matters.

Employee and Workplace Matters

  • Act as the initial point of contact for internal employee-related legal queries or disputes.
  • Manage and administer Exclaimer’s employee equity schemes, working with the CFO, Finance, and People teams to ensure compliance, clarity, and appropriate documentation.

Data Privacy and Risk Management

  • Partner with our DPO and CISO on global data protection strategy, including UK/EU GDPR and US state law compliance.
  • Support marketing, product, and engineering teams on privacy and data handling matters.
  • Manage our risk and compliance registers and advise on potential exposures.

Experience and Skills

  • Qualified solicitor (or equivalent) with several years post-qualification experience.
  • Background in high-growth tech businesses (SaaS, Fintech, or similar); experience in a private equity-backed company is desirable.
  • Knowledge of multi-jurisdictional legal environments and cross-border operations.
  • Proven track record of advising on commercial SaaS agreements and contract frameworks and innovative approach to establish a scalable legal function
  • M&A or carve-out transaction experience is advantageous.
  • Confident communicator with the ability to explain complex legal matters in a clear, concise manner to a range of audiences.
  • Comfortable working in an environment of ambiguity and rapid change.

Interview Process

  1. Initial Meeting: introductory conversation with our People Transformation Director to discuss your background, life at Exclaimer, and our expectations for the role. This will be held as an online meeting.
  2. 1st Interview: a deep dive into your technical experience and alignment with Exclaimer’s needs. You’ll meet our external General Counsel and our DPO/CISO. We can either accommodate an in-person meeting or online meeting.
  3. Panel Interview: you will be invited to deliver a short presentation to the CEO, Chief People Officer, and Chief Growth Officer. This will be held in person, in our London HQ (near Bank).
